Welcome to Cadenza. These Terms of Service constitute a legally binding agreement between you and Cadenza regarding your use of our platform. By accessing or using Cadenza, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Important Notice: These Terms contain provisions that limit our liability and require individual arbitration of disputes. Please read these Terms carefully.

1. About Cadenza

Cadenza is a performing arts hiring platform that connects musicians with professional opportunities including jobs, auditions, competitions, programs, and other career opportunities. Organizations such as orchestras, ensembles, festivals, educational institutions, and other music-related entities use Cadenza to post listings and manage their recruitment processes.

Cadenza serves as a platform provider and marketplace. We do not employ musicians, hire on behalf of organizations, or control the hiring, audition, or selection processes. All employment relationships, contracts, and arrangements are directly between musicians and organizations.

Cadenza is operated by Kalinklo Ltd, a Hong Kong company; that is the contracting and billing entity. References to “Cadenza,” “we,” “us,” or “our” in these Terms mean Kalinklo Ltd.

2. Acceptance of Terms

By creating an account, accessing our website, or using any Cadenza services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference into these Terms.

Cadenza is open to musicians and music organizations of all ages. You represent that you are at least 13 years of age. If you are under 18 (or under the age of digital consent in your jurisdiction), you represent that a parent or legal guardian is aware of and permits your use of Cadenza, and that they accept these Terms on your behalf. If you are using Cadenza on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through prominent notice on the platform. Your continued use of Cadenza after such modifications constitutes acceptance of the updated Terms.

3. Account Registration and Responsibilities

3.1 Account Creation

To access certain features of Cadenza, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.2 Account Types

Cadenza offers two types of accounts:

  • Musician Accounts: Free accounts for individual musicians to browse, save, and apply to opportunities. Musicians are never required to pay to use Cadenza.
  • Organization Accounts: Paid accounts for orchestras, ensembles, festivals, schools, and other music organizations to post listings and manage recruitment.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Cadenza of any unauthorized use of your account or any other security breach. Cadenza will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Account Accuracy

You may not create an account using false or misleading information. Organizations must accurately represent their identity, affiliation, and authority to post opportunities. Musicians must accurately represent their qualifications and experience.

4. Musician Accounts

4.1 Free Access

Musician accounts are provided at no cost. Musicians may browse all available opportunities, save listings, create job alerts, and apply to opportunities without any payment obligations to Cadenza.

4.2 Profile Information

Musicians may create profiles containing information about their training, experience, repertoire, and other professional details. You retain ownership of the content you provide, but grant Cadenza a license to display this information as necessary to provide our services.

4.3 Applications

When you apply to an opportunity through Cadenza, your application information may be shared with the posting organization according to the organization's application requirements. Cadenza is not responsible for how organizations process, store, or use your application materials.

4.4 No Payment Obligation

Cadenza will never require musicians to pay to access opportunities, submit applications, or use core platform features. If you are asked to pay by any third party claiming affiliation with Cadenza, please report this to hello@cadenza.work immediately.

5. Organization Accounts and Billing

5.1 Paid Services

Organizations must purchase credits or subscriptions to post job listings, auditions, competitions, programs, and other opportunities on Cadenza. By purchasing services, you agree to pay all applicable fees according to the pricing in effect at the time of purchase.

5.2 Pricing Models

Cadenza offers two pricing models for organizations:

  • Pay-as-you-go: Purchase individual listing credits ranging from $149 to $249 per listing, depending on the listing type and duration. Credits are consumed when a listing is published.
  • Annual Subscriptions: Subscribe to an annual plan ranging from $990 to $24,000 per year (Enterprise Recruitment OS and Full Service plans are quoted custom), which includes a specific number of listings and features. Each subscription covers a fixed one-year term and is not automatically charged again at the end of that term — see Section 5.4.

5.3 Payment Processing

Payments are processed securely through Airwallex, our third-party payment processor. By providing payment information, you authorize Cadenza to charge your payment method for all fees incurred. You represent that you have the legal right to use any payment method you provide.

5.4 Renewal

Annual subscriptions cover a fixed one-year term. We do not automatically charge your payment method at the end of the term. Before your subscription expires, we send renewal reminder emails so you can choose whether to continue. To keep your plan active without interruption, renew before the expiry date; if you do not renew, your account returns to the free tier at the end of your paid term, and you may resubscribe at any time at the then-current rate.

5.5 Taxes

Fees are exclusive of all applicable taxes, duties, and levies. You are responsible for determining which taxes apply to your purchase and for remitting the appropriate tax to the appropriate tax authority.

5.6 Price Changes

Cadenza reserves the right to modify pricing at any time. Price changes will not affect active subscriptions until renewal. We will provide advance notice of significant price changes.

6. Ticketing, Donations, and Event Sales

When an organization sells tickets, season passes, merchandise, or collects donations through Cadenza, the following terms apply to that organization and to the buyer completing the purchase. By completing a purchase you agree to these terms.

6.1 Cadenza’s Role

For ticket, pass, merchandise, and donation transactions, Cadenza provides the technology and payment facilitation; the organizing entity is the seller and is responsible for the event, the goods or services, and any representations it makes. Cadenza is not the event organizer and does not guarantee any event will take place as described.

6.2 Buyer Service Fee

A service fee of 7% + $0.99 per order (5% + $0.99 for orders placed with organizations on a paid subscription) is added to the buyer’s total at checkout and is shown before payment. The organizer receives 100% of the ticket face value they set; the service fee is charged in addition to that face value and is not deducted from it. The flat portion of the fee is charged once per order, not per ticket. Merchandise add-ons carry an 8% fee taken from the merchandise proceeds, and donations carry a 5% processing fee; these are disclosed at the point of sale.

6.3 Taxes

Ticket face values and other amounts an organizer sets are exclusive of any sales tax, VAT, or similar levy unless the organizer states otherwise. The organizing entity is responsible for determining, collecting, and remitting any tax applicable to its sales. Cadenza does not calculate or remit sales tax on an organizer’s behalf.

6.4 Refunds and Cancellations

Refunds for tickets, passes, and merchandise are governed by the organizer’s stated policy for the event. If an event is cancelled, the organizer is responsible for refunds. Donations are generally non-refundable. Buyers seeking a refund should contact the organizing entity first; Cadenza may assist in processing an approved refund but is not obligated to refund amounts on an organizer’s behalf.

6.5 Payouts

Organizer proceeds are paid out through Cadenza’s payment provider to the payout destination the organization configures, subject to the provider’s verification and settlement timelines and to any amounts withheld for pending refunds or disputes.

7. Refund Policy

Our refund policy is designed to be fair to both organizations and to Cadenza. Please review these terms carefully before making a purchase.

6.1 Annual Subscriptions

Current self-serve subscription offers include a 14-day money-back guarantee where the paid service has not already been materially consumed, such as by publishing paid listings, using featured placement, or processing customer transactions. After that guarantee window, annual subscriptions are non-refundable on a pro-rata or partial basis. If you cancel an annual subscription, you will retain access to your subscription benefits through the end of your current billing period, and your subscription will not renew for the subsequent period.

6.2 Pay-as-you-go Credits

Pay-as-you-go listing credits may be refunded only if the listing for which the credit was purchased has not yet been published to the platform. Once a listing is published and made visible to musicians, the credit is considered used and is non-refundable, regardless of whether you later edit, unpublish, or delete the listing.

6.3 Audition Day Pass

The Audition Day Pass is a one-time, 60-day entitlement, not a subscription. It is eligible for the 14-day money-back guarantee only if the paid audition workflow has not been materially used, such as by accepting applications, running a draw, recording jury scores, or issuing a decision. Once those workflow benefits have been materially used, the pass is non-refundable except in the exceptional circumstances described below.

6.4 Boost and Premium Features

Purchases of listing boosts, featured placements, and other premium add-on features are non-refundable once applied to a listing. These features provide immediate visibility benefits that cannot be reversed.

6.5 Refund Requests

To request a refund where eligible, contact hello@cadenza.work within 14 days of purchase. Include your organization name, invoice number, and reason for the refund request. Approved refunds will be processed to the original payment method within 10 business days.

6.6 Exceptional Circumstances

Cadenza may, at its sole discretion, issue refunds outside of this policy in exceptional circumstances, such as platform technical failures that prevent listing publication or other extraordinary situations.

8. User-Generated Content

7.1 Content Ownership

You retain ownership of all content you submit to Cadenza, including job listings, organization profiles, musician profiles, and application materials. However, by posting content on Cadenza, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your content in connection with providing and promoting our services.

7.2 Content Responsibilities

You are solely responsible for all content you post on Cadenza. You represent and warrant that:

  • You own or have the necessary rights to post the content
  • The content is accurate and not misleading
  • The content does not violate these Terms or any applicable law
  • The content does not infringe on any third party's intellectual property or other rights

7.3 Job Listings

Organizations posting job listings, auditions, and other opportunities must ensure that:

  • All information is current, accurate, and complete
  • The opportunity genuinely exists and is available
  • Compensation, requirements, and terms are clearly and honestly stated
  • The listing complies with all applicable employment laws and anti-discrimination regulations
  • Application processes are clearly described and functional

7.4 Content Moderation

Cadenza reserves the right, but has no obligation, to monitor, review, edit, or remove any content at our sole discretion. We may remove content that violates these Terms, is fraudulent, misleading, or inappropriate, or for any other reason.

7.5 Aggregated and Imported Content

Cadenza may aggregate listings from public sources, RSS feeds, and other data sources to provide comprehensive opportunity coverage. While we strive to ensure accuracy, we cannot guarantee the accuracy of third-party content. Users should verify all details directly with the source organization.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Fraudulent Activity: Posting fake listings, creating false profiles, misrepresenting your identity or qualifications, or engaging in any deceptive practices
  • Discrimination: Posting listings or engaging in conduct that discriminates based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic
  • Harassment: Harassing, threatening, or abusing other users
  • Spam: Sending unsolicited messages, posting duplicate listings, or engaging in other spam activities
  • Scraping: Using automated tools to scrape, copy, or collect data from Cadenza without our express written permission
  • Circumvention: Attempting to bypass payment requirements, access controls, or security measures
  • Interference: Interfering with or disrupting Cadenza's services, servers, or networks
  • Illegal Activity: Using Cadenza for any unlawful purpose or in violation of any applicable laws or regulations
  • Intellectual Property Infringement: Posting content that infringes on others' intellectual property rights
  • Competitive Use: Using Cadenza to develop, support, or operate a competing service

Violation of these prohibitions may result in immediate termination of your account and may subject you to legal liability.

10. Intellectual Property

9.1 Cadenza's Intellectual Property

The Cadenza platform, including its design, software, code, features, functionality, content, branding, and trademarks, is owned by Cadenza and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of our platform without our express written permission.

9.2 Limited License

Cadenza grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for its intended purpose in accordance with these Terms. This license does not include the right to collect, use, copy, or distribute content from Cadenza except as necessary for your personal use of the platform.

9.3 Copyright Infringement

If you believe that content on Cadenza infringes your copyright, please contact us at hello@cadenza.work with a detailed description of the allegedly infringing content, your contact information, and a statement of good faith belief that the use is not authorized.

11. Third-Party Links and Services

10.1 External Links

Cadenza may contain links to third-party websites, application portals, organization websites, and other external resources. These links are provided for convenience only. Cadenza does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services.

10.2 Application Portals

Many opportunities on Cadenza require application through external application portals operated by the posting organization or third-party applicant tracking systems. When you click through to apply, you leave Cadenza and become subject to the terms and privacy policies of those external services. We are not responsible for the security, functionality, or practices of external application systems.

10.3 RSS Feeds and Aggregated Content

Cadenza aggregates opportunity listings from various sources including RSS feeds, public job boards, and organization websites. While we make reasonable efforts to ensure accuracy, we cannot guarantee the completeness or accuracy of aggregated content. You should always verify opportunity details directly with the source organization before applying.

10.4 Payment Processing

Payment processing is provided by Airwallex, a third-party payment processor. Your payment information is subject to Airwallex's privacy policy and terms of service. Cadenza does not store complete credit card information on our servers.

12. Disclaimers and Limitation of Liability

11.1 No Warranties

CADENZA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT CADENZA WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11.2 No Guarantee of Outcomes

Cadenza does not guarantee that musicians will find employment or opportunities, or that organizations will find suitable candidates. We are a platform provider only and do not control hiring decisions, audition outcomes, or any employment-related matters.

11.3 Third-Party Content

Cadenza is not responsible for the accuracy, completeness, legality, or quality of user-generated content, including job listings, organization profiles, or musician profiles. We do not verify the identity of users or the legitimacy of opportunities. You are solely responsible for evaluating the accuracy and suitability of all content and for verifying details with source organizations.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADENZA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF CADENZA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CADENZA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF CADENZA EXCEED THE AMOUNT YOU PAID TO CADENZA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

11.5 Indemnification

You agree to indemnify, defend, and hold harmless Cadenza and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Cadenza; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you post on Cadenza.

13. Account Termination

12.1 Termination by You

You may terminate your account at any time by contacting hello@cadenza.work or using the account deletion feature in your account settings. Upon termination, you will lose access to your account and any content associated with it. For organization accounts with active subscriptions, termination does not entitle you to a refund, but you will retain access through the end of your billing period.

12.2 Termination by Cadenza

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, illegal, or abusive activity
  • Non-payment of fees
  • Extended inactivity
  • At our sole discretion to protect Cadenza or other users

Upon termination by Cadenza for cause, no refunds will be issued for prepaid fees or unused credits.

12.3 Effect of Termination

Upon termination of your account, your right to use Cadenza will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with Cadenza, you agree to first contact us at hello@cadenza.work and attempt to resolve the dispute informally. Please provide a detailed description of the dispute and your desired resolution. We will make good faith efforts to resolve disputes amicably.

13.2 Governing Law

These Terms and any dispute arising out of or related to your use of Cadenza shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law provisions.

13.3 Arbitration

Any dispute that cannot be resolved through informal negotiation shall be resolved through binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, the tribunal shall consist of one arbitrator, and the proceedings shall be conducted in English. Each party shall bear its own costs of arbitration.

13.4 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

13.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

15. Changes to These Terms

Cadenza reserves the right to modify these Terms at any time. We will provide notice of material changes by:

  • Sending an email to the address associated with your account
  • Posting a prominent notice on the Cadenza platform
  • Updating the "Last Updated" date at the top of these Terms

Your continued use of Cadenza after such notice constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of Cadenza and may terminate your account.

For material changes that affect pricing, billing, or refund policies, we will provide at least 30 days' advance notice to organization account holders. Such changes will not affect active subscription periods and will take effect upon renewal.

16. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cadenza regarding your use of our platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Cadenza's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without Cadenza's prior written consent. Cadenza may assign or transfer these Terms or any rights or obligations hereunder without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

15.5 Force Majeure

Cadenza shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riot, natural disasters, pandemics, government actions, internet or telecommunications failures, or failures of third-party services.

15.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Cadenza. You have no authority to bind Cadenza or make representations on our behalf.

15.7 Language

These Terms are provided in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.

Acknowledgment: By using Cadenza, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Cadenza. If you do not agree to these Terms, you may not use our services.
